1The service and your account#
SprigoCRM is a subscription CRM for managing customer records and sending Email, SMS and WhatsApp campaigns. You must be authorised to bind the business you register and provide accurate information, including during KYC verification. You are responsible for all activity under your account and for keeping credentials secure. Account owners and admins control team seats and roles.
2Licence#
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the service for your internal business purposes during your subscription. You may not resell, sublicense, reverse-engineer or copy the service, or use it to build a competing product. All rights not expressly granted remain with us.
3Plans, seats and fees#
- Plans: each plan defines its price, billing cycle (monthly, quarterly or annual), included channels, campaign allowance and user seats, as shown on our Pricing page.
- Free trial: new accounts may receive a time- and campaign-limited trial. Only one trial is available per business/email. Trial limits are shown in the product.
- Top-ups: one-off campaign packs may be purchased; they expire at the end of their stated validity and unused campaigns do not roll over.
- Taxes: prices are exclusive of GST and other applicable taxes unless stated. We issue GST invoices; please keep your GSTIN up to date.
4Payment terms#
Fees are payable in advance for each billing period through our payment processor (Razorpay) in Indian Rupees. Subscriptions renew automatically at the end of each period unless cancelled before renewal. If payment fails or a plan expires, we may restrict sending or access until the account is brought current. Except as stated in section 5 or required by law, fees already paid are non-refundable.
5Cancellation#
- You may cancel at any time; cancellation takes effect at the end of the current paid period and you keep access until then.
- We do not provide pro-rated refunds for unused time or unused campaign allowance, except where required by law or where we have materially failed to provide the service.
- You can export your customer data before closing your account. After closure we delete or anonymise your data in line with our Privacy Policy, subject to legal retention requirements.
- We may suspend or terminate accounts that breach these Terms or our Acceptable Use Policy, with notice where practicable.
6Your data and compliance#
You own the data you upload. You are responsible for having a lawful basis and any required consents to store and message your contacts, and for complying with our Anti-Spam & Telecom Policy. Our handling of customer data on your behalf is governed by the Data Protection Terms.
7Availability and changes#
We work to keep the service available but do not guarantee uninterrupted or error-free operation; maintenance and third-party outages may occur. We may improve, change or discontinue features, and will give reasonable notice of changes that materially reduce core functionality.
8Disclaimer#
The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Delivery of messages depends on carriers and third-party providers and is not guaranteed.
9Limitation of liability#
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the service shall not exceed the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under Indian law.
10Indemnity#
You agree to indemnify and hold us harmless from claims, losses and expenses (including reasonable legal fees) arising from your content, your messaging activity, or your breach of these Terms or applicable law.
11Governing law and jurisdiction#
These Terms are governed by the laws of India. Subject to any mandatory arbitration or consumer-protection rights that apply, the courts at Delhi, India have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the service.
12General#
These Terms, together with the policies linked above, are the entire agreement between us on this subject. If a provision is unenforceable, the rest remains in effect. We may update these Terms; continued use after the effective date of an update means you accept it. Questions: sprigocrm@gmail.com.
